E.  Governing Law - The GTCA and all future agreements which may be entered into with MCI, Inc., unless otherwise indicated in writing on said agreement, shall be governed by the laws of the State of Tennessee, United States of America, without regard to conflicts of the principle laws thereof.  All disputes are the exclusive jurisdiction of Nashville, Davidson County, Tennessee, unless all parties agree to enter into binding arbitration. Should any part of the GTCA be ruled to be unlawful in a court of law, the remaining portions of said agreement shall not be adversely affected and are fully enforceable.
